PLEASE READ THESE TERMS AND CONDITIONS VERY CAREFULLY BEFORE REGISTERING TO PARTICIPATE IN THE ADDUPLEX AD NETWORK. YOUR REGISTRATION FOR AND PARTICIPATION IN THE NETWORK MEANS THAT YOU ACCEPT THESE TERMS AND CONDITIONS AND THE LEGAL RIGHTS AND OBLIGATIONS THEY CREATE. IF YOU DO NOT ACCEPT THESE TERMS AND CONDITIONS, PLEASE DO NOT REGISTER FOR OR PARTICIPATE IN THE NETWORK.
1. Disclaimer of Warranty
You expressly acknowledge and agree that use of the ADuplex Ad Network, Services and Software (Services) is at your sole risk. THE SERVICES ARE PROVIDED "AS IS," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. AdDuplex does not warrant that the functions contained in the Services will meet your requirements or those of the Employer, or that the operation of the Services will be uninterrupted or error-free. Furthermore, AdDuplex does not warrant or make any representation regarding the use or the results of the use of the Services (including the related documentation) in terms of their correctness, accuracy, reliability, or otherwise.
AdDuplex EXPRESSLY DISCLAIMS ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR TITLE WITH RESPECT TO THE SERVICES.
2. Limitation of Liability
In no event will AdDuplex's total liability for all damages exceed the amount of money paid to AdDuplex for the Services that caused the damages.
UNDER NO CIRCUMSTANCES, INCLUDING NEGLIGENCE, WILL AdDuplex BE LIABLE FOR ANY INCIDENTAL, SPECIAL, INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST DATA, LOST REVENUE, OR LOST PROFITS, ARISING OUT OF OR RELATING TO THIS LICENSE OR THE SOFTWARE UNLESS CAUSED BY THE GROSS NEGLIGENCE OR INTENTIONAL MISCONDUCT OF AdDuplex.
3. Agreement Details
3.1. For a number of Ad impressions served by your application AdDuplex will serve a number of Ad impressions for your application. The Exchange Ratio is determined by AdDuplex at the time of registration. AdDuplex may increase the ratio in your favor at any time. In an event that AdDuplex needs to decrease the ratio it will inform you by an email to the email address in your AdDuplex profile at least 30 days in advance.
3.2. Not more than 1 (one) ad impression by a single application installation in a 15 (fifteen) seconds period is counted toward ad impression balance. The number is adjusted daily for both ads served by your application and for your application.
3.3. You are allowed to implement a mechanism for automatically hiding and displaying the ad control provided it is visible for no less than 15 (fifteen) seconds in every 60 (sixty) seconds.
3.4. Credits purchased for commercial advertising after March 14th, 2014 are valid for up to one year since the day of purchase.
3.4.1 Refund Policy: All sales are final. In case you've made a purchase by mistake and your campaign haven't started yet, or your campaign was rejected by the AdDuplex QA, you can request a refund by contacting AdDuplex at email@example.com
3.5 Publishers participating in the Revenue Sharing Program (monetization) receive 70% of the net sales revenue paid by advertisers to AdDuplex for the ads displayed in Publisher’s apps before April 1st, 2023 and 50% for the ads displayed after this date. Earnings are paid out to Publishers for every month of participation in the Program within 45 days after the end of the accounting period (month). Payouts are subject to minimum payout threshold depending on the payout method and are agreed upon at the time of acceptance into the Revenue Sharing Program.
4. Prohibited Uses
This section describes activities prohibited on AdDuplex Cross-Promotion Network. Any attempt to violate these terms may result in termination of this Agreement.
4.1. Apps participating in the Cross-Promotion Program can only have ads advertising apps published in the official Microsoft Store. Advertising of other apps or services is prohibited.
4.1.1. Commercial advertising of products and services other than Microsoft Store apps is subject to unilateral approval by AdDuplex. Contacting AdDuplex sales at firstname.lastname@example.org is highly recommended before setting such campaigns up.
4.2. Trying to artificially increase the number of ad impressions served by your application in any way is prohibited.
4.3. Content of your ads should be inline with content requirements set by Microsoft for the Microsoft Store applications. Content not allowed in the Microsoft Store applications is forbidden in AdDuplex ads.
4.4. You can only run AdDuplex ads in applications distributed through official Microsoft Store. Running ads in applications distributed in any other way is prohibited.
4.5. Without prior notice AdDuplex may suspend apps which at our sole discretion are considered as not complying with applicable laws, e.g. infringing intellectual property rights, personal rights, rights to privacy, data protection regulations, advertising regulations, etc. In such case no compensation of any kind will be granted to you. If you believe that AdDuplex suspended your app without a due reason, please provide us with all evidence at hand and we will reconsider suspension.
Each Party can terminate this Agreement at any time by informing the other Party by email. In an event of termination AdDuplex informs you via email specified in your profile during registration. You inform AdDuplex of termination by sending a termination notice to email@example.com.
